We are Boardforms Limited. We are registered in England and Wales under company number 15063358 and have our registered office at 3 Lombard Street, London, United Kingdom, EC3V 9AA.
We own and operate a technology platform ("Platform") through which we provide online cloud based corporate governance services ("Services") to our customer organisations ("Customers").
About these terms ("Terms")
These Terms set out the acceptable use policy which applies to Users of the Platform. A User is a person authorised by a Customer (under an agreement with us) to access the Platform and use the Services.
Use of the Platform and Services by a User is subject to these Terms. For information on how we may use your personal information please see our Privacy Policy.
Do not use the Platform or Services if you do not agree to these Terms. Your use of the Platform and Services will be treated as acceptance of these Terms.
We amend these Terms from time to time. When we have done so, we will notify you on the Platform.
Your obligations
You must comply with your obligations as set out in these Terms.
- You shall not use our Platform in any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect.
- You shall not use our Platform in any way that infringes any third party intellectual property rights.
- You shall not use our Platform in any way that breaches any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
- You shall not knowingly introduce viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or other material which is malicious or technologically harmful.
- You shall not reproduce, duplicate, copy, or re-sell any part of our Platform, including any of our template questionnaires.
- You shall not access without authority, interfere with, damage, or disrupt any part of our Platform; any equipment or network on which our Platform is stored; any software used in the provision of our Platform; or any equipment or network or software owned or used by any third party.
Rights you are giving us to use material you upload
When you upload content to our site, you grant us a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the Services.
User-generated content is not approved by us
This website may include information and materials uploaded by other Users of the site, including questionnaires created by other Users. This information and these materials have not been verified or approved by us. The views expressed by other Users on our site do not represent our views or values.
Breach of these Terms
When we consider that a breach of this acceptable use policy has occurred, we may take such action as we deem appropriate, including all or any of the following actions:
- Immediate, temporary or permanent withdrawal of your right to use our Platform.
- Issue of a warning to you.
- Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach. This means you will be responsible for any loss or damage we suffer as a result of your breach of these Terms.
- We exclude our liability for all action we may take in response to breaches of this acceptable use policy. The actions we may take are not limited to those described above, and we may take any other action we reasonably deem appropriate.
Disclaimer and Liability
We do not exclude or limit in any way our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation; or
- any other loss which cannot be excluded by law.
Otherwise, your use of our Platform is entirely at your own risk and, to the fullest extent permitted by law, we shall not have any liability in relation to any loss, claim or damage arising from or related to the use of the Platform.
General
If we choose to waive any particular right which we have under these Terms on any particular occasion this does not prevent us from exercising that right on another occasion.
If any part of these Terms is held by a court of law (or similar forum) to be invalid or unenforceable, this shall not affect the validity or enforceability of the rest of these Terms.
If there are any disputes or otherwise, relating to the terms of this acceptable use policy, then these will be governed by the laws of England and Wales, and subject to the exclusive jurisdiction of the courts of England and Wales.
